CONCLUSIONS OF THE 35th SESSION OF THE COUNCIL OF COMPETITION

SARAJEVO, 26 October 2006 - The Council of Competition in its 35th session has adopted a Decision declaring a concentration, constituted between Intesa Holding International S.A., 19-21 Boulevard du Prince Henri, L-1724 Luxemburg and UPI Banka d.d. Sarajevo, Obala Kulina bana 9A, Sarajevo, compatible.

As the concentration concerned was not notified within the time limits regulated by the law, the Council of Competition initiated ex-officio a procedure for assessment of the concentration.

After examination and analysis of the data and facts during the decision making procedure, the Council of Competition determined by means of a Decision that Intesa Holding intends to acquire a complete control over the UPI Banka by acquiring the majority share of the legal capital of UPI Banka. At same time, it is assessed that the concentration concerned shall not breach the competing rules and that it shall enable increase of the market competition in the field of banking services in Bosnia and Herzegovina.

As the concentration concerned was not notified within the ordered time limits, the Council of Competition imposed a fine of 250.000KM to Intesa Holding Internationsl S.A., Luxemburg.

The Council of Competition has adopted a Resolution on initiation of the assessment procedure of the concentration constituted between the Banka Domžale d.d. Domžale, Ljubljanska 62 and CBS Banka d.d. Saarjevo, Džidžokovac 1, Sarajevo .

The Council of Competition also has adopted a Resolution on initiation of the assessment procedure of the concentration constituted between Nova Ljubljanska banka d.d., Trg Republike 2, Ljubljana , Slovenia and Razvojna banka a.d. Banja Luka , Kralja Petra I, Banja Luka .

During the assessment procedure of the concentrations concerned, the Council of Competition shall investigate all facts connected to the intended concentrations and whether the statutory terms regarding the time limits for obligatory notification of the intended concentrations are satisfied.
