CONCLUSIONS OF THE 37TH SESSION OF THE COUNCIL OF COMPETITION

SARAJEVO, 15 December 2006 - The Council of Competition in its 37th session has adopted a Decision declaring a concentration, constituted between Nova Ljubljanska banka d.d. Ljubljana, Republic of Slovenia and Razvojna banka Jugoistočne Evrope a.d., Banja Luka , Bosnia and Herzegovina, compatible.  

In other words, the Council of Competition initiated ex-officio a proceedings in order to appraise a concentration constituted between Nova Ljubljanska banka and Razvojna banka Jugoistočne Evrope. In the course of the conducted legal and economic analysis, the Council of Competition establishes that the concentration concerned does not prevent, restrict or distort the market competition but it ensures strengthened competition in the banking services market in Bosnia and Herzegovina. 

Owing to fails to submit a Notification on intended concentration the Council of Competition fined Ljubljanska banka d.d., Ljubljana 400.000KM. 

The Council of Competition suspended a proceedings relating to the assessment of the intended concentration between LHB Banka a.d., Banja Luka and NLB Razvojna banka, Banja Luka. In the course of the proceedings, the Council of Competition establishes that NLB Banka d.d. Ljubljana is a majority owner of LHB Banka a.d. Banja Luka and Razvojna banka a.d. Banja Luka. Therefore, it is decided that the case is about an internal re-organization of the undertakings controlled by NLB Banka d.d. Ljubljana and that it will continue to control these undertakings after the internal re-organization. 

At the same time, the Council of Competition suspended a proceedings relating to the assessment of the intended concentration between CBS Banka d.d., Sarajevo and Tuzlanska banka d.d., Tuzla. Concerning the analysis and estimations provided in the assessment proceedings, the Council of Competition established that Nova Ljubljanska banka d.d. Ljubljana is majority owner of Tuzlanska banka and CBS banka and that this case can not be considered to be a concentration. The case is about internal re-organization of the undertakings so that Nova Ljubljanska banka d.d. Ljubljana will continue to be the majority owner of Tuzlanska banka d.d. Tuzla.
