CONCLUSIONS OF THE 38TH SESSION OF THE COUNCIL OF COMPETITION 

SARAJEVO, 22 December 2006-The Council of Competition in its 38th session has adopted a Decision declaring the takeover of the undertaking Energopetrol d.d., Sarajevo, Bosnia and Herzegovina by INA industrija nafte d.d. Zagreb, Republic of Croatia and MOL Hungarian Oil and Gas Plc., Budapest, Republic of Hungary.  

INA industrija nafte d.d. Zagreb and MOL Hungarian Oil and Gas Plc. submitted a notification on intended concentration to the Council of Competition by means of which they intended to take control over Energopetrol d.d. Sarajevo. Considering and analyzing all established facts in the decision making procedure the Council of Competition ascertained that the concentration concerned will not prevent, restrict or distort the market competition in the retail and wholesale relevant market of oil and lubricants in Bosnia and Herzegovina.  

Also, the Council of Competition has adopted a Decision declaring that a concentration constituted between Bosna osiguranja d.d. Sarajevo and Sunce osiguranje d.d. Sarajevo is compatible. 

The Council of Competition received a Notification on intended concentration by means of which Bosna osiguranje d.d. intended to join Sunce osiguranje d.d. Sarajevo. In the course of the procedure regarding the assessment of intended concentration the Council of Competition considers a detailed legal and economic analysis and establishes that the concentration concerned will not have a negative effects in the market of property and personal insurance  in Bosnia and Herzegovina.    

At the same time, the Council of Competition suspended a procedure regarding the assessment of notification on intended concentration constituted between Banka Domžale d.d. Domžale, Republic of Slovenia and CBS Banka d.d. Sarajevo, Bosnia and Herzegovina. In the course of the assessment procedure, the Council of Competition establishes that Banka Domžale d.d. Domžale is one of the majority owners of CBS Banka d.d. Sarajevo and that this case can not be considered to be a concentration. It is question about an internal re-organization of undertakings and thereby Banka Domžale d.d. Domžale will remain to be a majority owner of CBS Banka d.d. Sarajevo. 

Upon request of JP HP Hrvatske telekomunikacije d.o.o. Mostar, the Council of Competition expressed its opinion declaring that joining the HT Mobilne d.d. Mostar to JP HP Hrvatske telekomunikacijе d.o.o. Mostar is not deemed to be a concentration.
