CONCLUSIONS OF THE 41st SESSION OF THE COUNCIL OF COMPETITION SARAJEVO, 15 February 2007- The Council of Competition issued in its 41st session a Decision declaring the concentration compatible; the concentration shall be implemented between Banca Intesa S.p.a., Milan, Republic of Italy and Sanpaolo IMI S.p.a., Torino, Republic of Italy. The Council of Competition has received a Notification by means of which Banca Intesa S.p.a. intends to join Sanpaolo IMI S.p.a. bank. The effects of concentration on the banking and financial services market in Bosnia and Herzegovina shall be achieved through UPI Banka and LTG Banka, subsidiary associations of Banca Intesa S.p.a. After the detailed legal and economic analysis, the Council of Competition established that the implementation of the concentration concerned would not have significant effects on the banking and financial market in Bosnia and Herzegovina. Also, the Council of Competition has issued a Decision declaring the concentration compatible; the concentration is implemented between Fomento de Construcciones y Contrata, S.A., Madrid, Spain and Alpine Mayreder Bau GmbH, Salzburg-Wals, Austria. Namely, „Fomento de Construcciones y Contrata, S.A.“ has submitted to the Council of Competition a notification on intended concentration by means of which it intends through purchase of majority of stocks of Alpine Mayreder Bau GmbH to become its majority owner. The effects of the concentration on the relevant market in Bosnia and Herzegovina shall be achieved through subsidiary associations of Alpine Mayreder Bau GmbH as follows: Alpine Investment društvo za građenje d.o.o. Sarajevo, Alpine Rudnik krečnjaka Lapišnica d.o.o. Istočno Sarajevo and Alpine BH društvo za izgradnju vodovoda d.o.o. Travnik. Estimating and analyzing all established data and facts in the decision making procedure, the Council of Competition established that the intended concentration would not create prevention, restriction or distortion of the market competition in the civil engineering market in Bosnia and Herzegovina. On the basis of the preliminary analysis of the collected data, the Council of Competition has rejected a Notification on intended concentration of „Europapier Sarajevo“ d.o.o. Sarajevo due to the fact that there is no concentration, pursuant to Article 12 of the Act on Competition. |
