CONCLUSIONS OF THE 42nd SESSION OF THE COUNCIL OF COMPETITION 

SARAJEVO, 22 March 2007- The Council of Competition has issued in its 42nd session a Decision declaring the concentration compatible; the concentration shall be achieved in the market of production and distribution of electric power in Republicof Srpska on the basis of joint venture on long term basis of independent undertakings ČEZ a.s. Prague, Czech Republic and Mješoviti Holding "Elektroprivreda" Republike Srpske Trebinje – Matično preduzeće a.d. Trebinje.  

Namely, ČEZ a.s. Prague and Mješoviti Holding "Elektroprivreda" Republike Srpske Trebinje – Matično preduzeće a.d. Trebinje submitted to the Council of Competition a joint Notification on intended concentration by means of which they intended through joint venture on long-term basis to carry out activities relating to production and distribution of electric power in the territory of Republic of Srpska.  

The Agreement on foundation of a new association "Nove elektrane Republike Srpske" d.o.o Gacko for production and sales of electric power regulates that the shares of ČEZ a.s. Prague amounts 51,0% of the shares capital and that shares of Mješoviti Holding "Elektroprivreda" Republike Srpske Trebinje – Matično preduzeće a.d. Trebinje amounts 49,0% of the shares capital. 

Through the joint venture on long – term basis the parties to the concentration intend to construct until 2013 a new mine and thermal power plant of capacity 600-700 MWh.
