CONCLUSIONS OF THE 43rd SESSION OF THE COUNCIL OF COMPETITION 

SARAJEVO, 05 April 2007 - The Council of Competition issued in its 43rd session a Decision declaring the concentration compatible; the concentration shall be achieved between undertaking “Preduzeće za telekomunikacije Telekom Srbija a.d.” Belgrade, Republic of Serbia and undertaking “Telekomunikacije Republike Srpske a.d.”, Banja Luka, Bosnia and Herzegovina.  

Undertaking “Telekom Srbije a.d.” Belgrade submitted to the Council of Competition the Notification on intended concentration by means of which it intended to become the owner of 65,0% of stocks of undertaking “Telekom Srpske a.d.” Banja Luka. When analyzed and estimated all data and established facts in the decision making procedure, the Council of Competition ascertained that concentration concerned would not restrict, prevent and distort the market competition in the relevant market of telecommunications services in Bosnia and Herzegovina. 

The Council of Competition has issued the Decision declaring the concentration compatible; the concentration shall be achieved between undertaking Voestalpine Stahlhandel GmbH, Linz, Republic of Austria and undertaking Zlomrex A.S., Republic of Poland in the steel and steel products market in Bosnia and Herzegovina. The Council of Competition received the notification by means of which Zlomrex A.S. intended to achieve a majority control over Voestalpine Stahlhandel GmbH. The effects of the concentration concerned on the relevant market in Bosnia and Herzegovina shall be achieved through Veting voestalpine Stahlhandel d.o.o. za proizvodnju i trgovinu (for production and trade) Sarajevo, a subsidiary association of Voestalpine Stahlhandel GmbH. After the detailed economic and legal analysis, the Council of Competition established that implementation of the concentration concerned would have no significant negative effects on steel and steel products market in Bosnia and Herzegovina. 

At same time, the Council of Competition issued the Decision declaring the concentration compatible; the concentration is created between undertaking Steiermarkische Bank und Sparkassen AG, Graz, Republic of Austria and undertaking ABS banka d.d. Sarajevo, Bosnia and Herzegovina. Steiermarkische Bank und Sparkassen AG submitted to the Council of Competition the Notification on intended concentration by means of which on the basis of public offering for a takeover of ABS banka d.d Sarajevo intends to become its majority owner. When estimated and analyzed all data and facts in the decision making procedure, the Council of Competition established that intended concentration of undertakings would not prevent, restrict or distort market competition in the banking services market in Federation of Bosnia and Herzegovina. 

Also, the Council of Competition issued the Decision declaring a concentration compatible; the concentration will be achieved in the market of banking and financial services and leasing services in Bosnia and Herzegovina by means of purchasing a majority stocks of Zepter Komerc Bank a.d. Banja Luka, Bosnia and Herzegovina by Volksbank International AG, Vienna, Austria and Volksbank BH d.d Poslovni centar – UNITIC, Sarajevo, Bosnia and Herzegovina. Namely, Volksbank International AG, Vienna, Republic of Austria and Volksbank BH d.d. submitted to the Council of Competition the Notification on intended concentration by means of which they intend to become 100,0% owner of Zepter Komerc Banke a.d. Banja Luka. After the procedure was completed, the Council of Competition ascertained that the intended concentration of undertakings would not distort competition rules in the market of banking and financial services and leasing services in Bosnia and Herzegovina.
