CONCLUSIONS OF THE 49TH SESSION OF THE COUNCIL OF COMPETITION Sarajevo, 27 July 2007 - On its 49th session the Council of Competition has adopted a Decision upon the notification on intended concentration created between undertakings Veleprodajni centar trgovina na veliko i malo (Wholesales and retail sales trade Center) d.o.o. Sarajevo, BH and Mališić MT d.o.o. Čitluk, BH. After the detailed evaluation and analysis of all data and facts estimated during the decision making procedure, the Council of Competition ascertained that the implementation of the concentration concerned will not distort the market competition in the retail market for groceries, food products, drinks and wide-ranging household products consumption in Bosnia and Herzegovina. As the Notification was not submitted within the legally specified time period, the Council of Competition imposed a fine in amount of 80.000 KM to Veleprodajni centar trgovina na veliko i malo (Wholesales and retail sales trade Center) d.o.o. Sarajevo. The Council of Competition has adopted a Decision declaring the concentration compatible; the concentration is created between the undertaking Dr. Ing. h. c. F Porsche AG, Germany and Volkswagen AG, Germany. Namely, Dr. Ing. h.c.F Porsche AG submitted to the Council of Competition a Notification on intended concentration by means of which it intends to buy majority stocks of the undertaking Volkswagen AG and to become its majority owner. Having the shares and achieved control over the Volkswagen AG, the Porsche is aimed to ensure a long-lasting successful cooperation with Volkswagen. After the detailed evaluation and analysis of all data and facts estimated during the decision making procedure, the Council of Competition ascertained that the implementation of the concentration concerned will not prevent, restricts and distorts the market competition in the market for production and sale of cars in Bosnia and Herzegovina. During the same session, the Council of Competition adopted a Decision upon Notification on intended concentration created between undertakings Bayerische Landesbank, Germany and Hypo Alpe-Adria-Bank International AG, Austria. Bayerische Landesbank submitted to the Council of Competition a Notification on intended concentration by means of which it intends to achieve a majority control over the undertaking Hypo Alpe-Adria-Bank International AG. After the detailed analysis the Council of Competition ascertained that the implementation of the concentration concerned will not distort the existing market competition in the universal banking and leasing market in Bosnia and Herzegovina because the undertaking Bayerische Landesbank does not act in Bosnia and Herzegovina. The market shares of the undertaking Hypo Alpe-Adria-Bank International AG will remain unchanged. The Council of Competition has adopted a Decision declaring the concentration compatible; the concentration is created between Dukat mliječna industrija (milk industry)d.d. Zagreb, Republic of Croatia and Inmer d.o.o. za proizvodnju, trgovinu i promet (for production ,trade and distribution) export-import, Bosnia and Herzegovina in the market for production and distribution of milk and diary products in BH. Dukat mliječna industrija (milk industry) d.d. Zagreb will provide establishment of new and innovative technology lines, development of distribution network and quality control in the production plants of the undertaking Inmer d.o.o. The detailed legal and economic analysis performed by the Council of Competition shows that the implementation of the concentration concerned will not have negative effects on the relevant market but it will strengthen the market competition in the market for production and distribution of milk and dairy products in Bosnia and Herzegovina. |
